1. Who we are
SmallBiz Ownd (the "service", "site", "we", "us") is operated by KNIGHT SHIELD DIGITAL INC., based in Edmonton, Alberta, Canada. When you use SmallBiz Ownd, you are contracting with KNIGHT SHIELD DIGITAL INC..
2. Acceptance of these terms
By creating an account, subscribing to a plan, or continuing to use the service, you agree to these Terms and Conditions. If you do not agree, please stop using the service. If you use the service on behalf of a business, you confirm that you have authority to bind that business to these terms. If you are using the service as an individual, you confirm that you are of legal age to enter into a contract in your country.
3. What we provide
SmallBiz Ownd is a storefront and business listing service that helps small business owners publish a simple storefront, reserve a business @name, and connect with customers. The specific features available depend on the plan you choose.
4. Your account
You are responsible for keeping your account credentials confidential and for all activity that happens under your account. You agree to provide accurate information when you sign up and to keep that information current.
5. Acceptable use
You agree not to:
- Use the service for anything unlawful, fraudulent, or misleading.
- Send spam, harass others, or post content that infringes anyone's intellectual property, privacy, or other rights.
- Attempt to interfere with the security or integrity of the service, including introducing malware, probing for vulnerabilities, or scraping data without permission.
- Resell, sublicense, or redistribute the service, or attempt to reverse engineer or circumvent technical limits.
6. Your content
You retain ownership of any content you submit to SmallBiz Ownd (business information, images, descriptions, messages). You grant us a limited licence to host, display, and process that content solely to provide the service to you and your customers.
7. Our intellectual property
KNIGHT SHIELD DIGITAL INC. retains all rights, title, and interest in SmallBiz Ownd and its underlying software, documentation, and branding. Nothing in these terms transfers ownership of that intellectual property to you. You are granted a limited, non-exclusive, non-transferable right to use the service within your selected plan.
8. Payments, subscriptions, and taxes
Starter is currently free. Builder and Growth are shown for planning and upgrade requests, but paid checkout is not open yet and an upgrade request does not create a subscription or charge you. Before paid checkout opens, the pricing page will identify the billing currency, trial terms, renewal date, taxes, and payment provider.
When paid checkout opens, the pricing page and checkout screen will identify the payment provider, billing currency, renewal terms, taxes, and cancellation options before you pay. Refunds are handled according to our Refund Policy.
Our Terms of Service and Terms and Conditions are the same agreement and apply to all purchases, subscriptions, and use of SmallBiz Ownd.
9. Service level
We work hard to keep the service available, but we do not guarantee that it will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate your access to the service for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service and cancel your subscription at any time. When your access ends, we may delete your content after a reasonable period, unless we are required by law to keep it.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service will not exceed the fees you paid us in the twelve months immediately before the event giving rise to the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
12. Indemnity
You agree to indemnify KNIGHT SHIELD DIGITAL INC. against claims arising from content you submit, your unlawful use of the service, or your material breach of these terms.
13. Governing law
These terms are governed by the laws of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. Any dispute will be resolved in Alberta unless mandatory consumer or other local law requires otherwise.
14. Canada and United States notices
Canadian customers can select CAD pricing and keep any non-waivable rights provided by federal or provincial law. United States customers can select USD pricing and keep any non-waivable rights provided by applicable federal or state law. Choosing CAD or USD changes the billing currency only; it does not change who operates SmallBiz Ownd or remove rights that apply where you live.
15. Changes to these terms
We may update these terms from time to time. The latest version will always be posted here with the effective date. If a change is material, we will make reasonable efforts to notify you before it takes effect.
